AD INFO 2 - TERMS AND CONDITIONS
Term of the Agreement
The term of this Agreement will begin upon our acceptance of your Advertising Submission Form and will end when terminated either by your cancellation of the Ad Plan selected or by Expiration Date of the Advertising as indicated by the Ad Plan selected or by order of any court.. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, your advertising will be removed from our web site. You may cancel your advertising at any time, also having the affect of giving us written notice, as this will be provided to us from PAYPAL or via an e-mail automatically sent to us, should you have selected an INVOICED Ad Plan.
Modification of Agreement
We may modify any of the terms and conditions contained in this Agreement, at any time and at our sole discretion, by posting a change notice or a new agreement on our web site and/or emailing our Active Advertiser Accounts. If any modification or change is unacceptable to you, your only recourse is to terminate this agreement (cancel your Ad Plan). Your continued participation in the program following our posting of a change notice or new agreement on our web site will constitute a binding acceptance of the change.
Relationship of Parties
You are an advertiser and we provide the online service to have your advertising viewed. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your advertising or otherwise, that reasonably would contradict anything in this Section.
Payment Terms (PAYPAL Electronic Payment)
If you pay for your ad using PAYPAL, you agree that payment will be made for your advertising to us using PAYPAL as the agent to collect our fees and convey them to us. We required a minimum of three (3) consecutive calendar months as an ad run term. You will be charged on a monthly basis for the entire term of your advertising plan. You will be billed the same time each month, electronically by PAYPAL, to your Credit Card or PAYPAL Account indicated at the time of establishing your ad plan. You may cancel your advertising plan by following the instructions provided on our web site and according to the limitations stated. There will be no refund of a fee paid, once the fee has been charged. You will be responsible to order the ad plan cancellation before the next "charge" date or a further charge will be recorded and no refund paid. There is no minimum of service term; the three month minimum is a condition for your signing up for advertising and gaining the benefit of our lower monthly rate. It does not hold you to a minimum to be served before you may cancel an ad plan.
As an "option" of payment, if you use the PAYPAL PAYMENT PLAN and select the ONE PAYMENT Option, we will grant a discount of up to 10% OFF your TOTAL ADVERTISING BILL. Please see the PAYPAL Service Page for details as to the amount of DISCOUNT you will receive, depending on the length of term for your ad.
Also note, that should you discontinue (cancel) your ad with us, you will be liable to pay that amount that would have been due, had you not selected the ONE PAYMENT Option under the PAYPAL Payment Plan and qualifying for the Discount associated for that selection.Payment Terms (Check or Money Order Payment)
If you pay for your ad by check or money order, you agree that payment will be made for your advertising with us, with a Personal, Business Certified or Money Order for the FULL AMOUNT DUE for the ENTIRE AD RUN PERIOD. We required a minimum of three (3) consecutive calendar months as an ad run term. You may cancel your advertising plan by following the instructions found on our Ad Info 3 Web Page and according to the limitations stated. There will be no refund of a fee paid, once the fee has been charged. You will be responsible to order, in writing, the ad plan cancellation, at least 7 business days before the start of the next month in your ad run period or a further charge for that month will be booked and no refund paid. There is no minimum of service term; the three month minimum is a condition for your signing up for advertising and gaining the benefit of our lower monthly rate. It does not hold you to a minimum to be served before you may cancel an ad plan.
Please note that the ONE PAYMENT Option to qualify for an additional discount, is applicable only if you select to pay using PAYPAL and then selecting the ONE PAYMENT Option Button. Invoice billings are not qualified to receive this additional discount.
Limitation of Liability
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or your advertising, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total advertising fees, for the ad in question, paid by you under this Agreement.
Disclaimers
We make no express or implied warranties or representations with respect to our Service or any products sold through our Service (including, without limitation, warranties of fitness, merchantability, non infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.
Rights to Limit Advertising Content
We reserve the right to limit and/or prohibit certain types of advertising on our site. We do advise you that we will not permit advertising that is of a discriminatory or derogatory nature towards or about any group, individual, belief, national origin, religious belief or is of a pornographic, illicit or demeaning nature. We reserve the right to refuse such advertising on these or other grounds as we may see fit. We will review all advertising before it is published. We will review all e-mail and web site links and determine their propriety, in keeping with the terms in this article, before publishing them on our web site. Any fee paid during this time, will be refunded, should we refuse to publish the advertising in question.
Applicable Governing Law
This agreement shall be governed by the laws of the United States of America and the State of Michigan without reference to its choice of law principles.
Independent Investigation
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR HAVE ADVERTISING THAT ARE SIMILAR TO OR COMPETE WITH YOUR ADVERTISING. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN OUR SERVICE AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT. BY CLICKING THE SUBMIT BUTTON, AT THE TIME YOU SEND US THE AD SUBMISSION FORM, YOUR AGREEMENT IS RECORDED.
